Davis Polk advised the joint lead arranger and bookrunner, and the administrative agent, in connection with the $650 million senior secured credit facilities (the “Facilities”) provided to Energizer SpinCo, Inc., as borrower. The Facilities consist of (i) a $400 million term loan facility and (ii) a $250 million revolving credit facility. The proceeds of the Facilities will be used to finance a payment to Energizer Holdings, Inc. (“Energizer”) or one of its subsidiaries in connection with the spinoff of the household products business of Energizer and for general corporate purposes.

Energizer, headquartered in St. Louis, Missouri, is one of the world’s largest manufacturers and marketers of batteries and lightening products and offers a broad range of portable power solutions, through its brands including its Energizer and Eveready brands.
