Davis Polk advised the managers on behalf of the several underwriters in connection with an SEC-registered offering by Atlas Air Worldwide Holdings, Inc. of $289 million aggregate principal amount of its 1.875% convertible senior notes due 2024, which included $29 million aggregate principal amount of convertible senior notes issued pursuant to the partial exercise of the underwriters’ over-allotment option. In addition, Davis Polk advised the counterparties to convertible note hedge and warrant transactions entered into by Atlas Air in connection with the offering.

Atlas Air is a global provider of outsourced aircraft and aviation operating services. Atlas Air’s companies operate the world’s largest fleet of Boeing 747 freighter aircraft and provide customers the broadest array of 747, 777, 767, 757 and 737 aircraft for domestic, regional and international applications.
