Davis Polk advised the joint bookrunners in connection with the initial public offering by C&A Modas S.A. and the selling shareholders of 98,630,146 common shares for an aggregate amount of approximately R$1.6 billion (approximately $406 million). The common shares trade on the São Paulo Stock Exchange. The securities sold in the international offering were placed under Rule 144A and Regulation S.

C&A is the second most recognized fashion retail brand and third in Brazil in terms of net revenue among Brazilian apparel retail companies listed on the São Paulo Stock Exchange. C&A is focused on designing, distributing and selling fashion retail and apparel products at good value-for-money, as well as selling electronics and related products.
