Davis Polk advised the representatives of the initial purchasers in connection with an unregistered offering of $19 billion in aggregate principal amount of senior notes by Bristol-Myers Squibb Company, consisting of $750 million aggregate principal amount of its senior floating-rate notes due 2020, $500 million aggregate principal amount of its senior floating-rate notes due 2022, $1 billion aggregate principal amount of its 2.550% senior notes due 2021, $1.5 billion aggregate principal amount of its 2.600% senior notes due 2022, $3.25 billion aggregate principal amount of its 2.900% senior notes due 2024, $2.25 billion aggregate principal amount of its 3.200% senior notes due 2026, $4 billion aggregate principal amount of its 3.400% senior notes due 2029, $2 billion aggregate principal amount of its 4.125% senior notes due 2039 and $3.75 billion aggregate principal amount of its 4.250% senior notes due 2049. Bristol-Myers Squibb, in connection with its previously announced proposed acquisition of Celgene Corporation, intends to use the proceeds of the offering to partially finance the cash portion of the merger consideration to be paid to Celgene shareholders and to pay related fees and expenses, and to use any remaining proceeds for general corporate purposes.
