Davis Polk Tax practice head David Schnabel and partners Lucy Farr and Corey Goodman will be among the speakers at Practising Law Institute’s 2023 “Tax Strategies for Corporate Acquisitions, Dispositions, Spin-Offs, Joint Ventures, Financings, Reorganizations & Restructurings” programs. The program will be held in New York on October 25-27, 2023, in Chicago on November 15-17, 2023, and in Los Angeles on December 6-8, 2023.

  • David will speak on the “Private Equity: Buying and Selling Partnerships” panel at each program. The panel will highlight common issues in passthrough deals that are important to private equity buyers and sellers as well as how to structure rollovers, redemptions and leveraged distributions.
  • Lucy will speak on the “Financial Instruments in M&A and Other Corporate Transactions” panel at the New York program. The panelists will explore the tax considerations for structuring M&A financings and related transactions in a post-2017 Tax Act and post-CARES Act world, including impacts of Section 163(j), base erosion anti-abuse tax and global intangible low-taxed income regimes.
  • Corey will speak on the “Restructuring Multinational Groups” panel at the Chicago program. The panelists will discuss cross-border structuring issues, global intangible low-taxed income, foreign-derived intangible income, the base erosion anti-abuse tax, Section 163(j) and anti-hybrid rules. The session will also cover pending legislative and international proposals.
