Davis Polk is advising Charoen Pokphand Foods Public Company Limited on its acquisition of Bellisio Foods for $1.075 billion from Centre Partners. The transaction, which is expected to close in late December 2016, is subject to regulatory approvals and other customary closing conditions.

Bellisio Foods is the third-largest producer and distributor of single-serve frozen entrees in the United States by unit share and produces products for well-known household brands such as Michelina’s, Boston Market, Chili’s, Atkins, EAT! and EatingWell. CP Foods is a subsidiary of Thailand’s largest private company and is the largest agro-industrial conglomerate in Southeast Asia. The acquisition marks CP Foods’ entry into the North American market.
