Davis Polk advised (i) the representative of the several underwriters in connection with a registered public offering by Spirit AeroSystems Holdings, Inc. of up to 10,454,545 shares of its Class A common stock, including the underwriters’ exercise of their option to purchase an additional 1,363,636 shares of Class A common stock and (ii) the representative of the several initial purchasers in connection with a Rule 144A offering by Spirit AeroSystems, Inc., pursuant to which it issued $230 million aggregate principal amount of 3.250% exchangeable senior notes due 2028, including the initial purchasers’ exercise in full of their option to purchase an additional $30 million aggregate principal amount of notes. The common stock is listed on the New York Stock Exchange under the symbol “SPR.” The exchangeable notes are guaranteed by Spirit AeroSystems Holdings, Inc. and Spirit AeroSystems North Carolina, Inc.
