We advised REV Group on its SEC-registered secondary stock offering

Davis Polk advised REV Group, Inc. and certain selling stockholders in connection with an SEC-registered secondary offering of 18,400,000 shares of common stock by such selling stockholders, which included the full exercise of the underwriters’ option to purchase additional shares. Total gross proceeds to the selling stockholders were $289.9 million.

As part of the offering, REV repurchased from the underwriters 8,000,000 shares of its common stock at the price paid to the selling shareholders by the underwriters.

Based in Brookfield, Wisconsin, REV is a leading designer, manufacturer and distributor of specialty vehicles and related aftermarket parts and services. REV serves a diversified customer base primarily in the United States and Canada, through two segments: Specialty Vehicles and Recreational Vehicles. REV provides customized vehicle solutions for applications including essential needs for public services (ambulances and fire apparatus), commercial infrastructure (terminal trucks and industrial sweepers) and consumer leisure (recreational vehicles).
