AbbVie $10 billion senior notes offering

Davis Polk advised the representatives of the underwriters in connection with an SEC-registered offering by AbbVie Inc. of $10 billion aggregate principal amount of senior notes in nine series, consisting of $500 million senior floating-rate notes due 2028, $1 billion of 4.500% senior notes due 2028, $1.25 billion of 4.650% senior notes due 2030, $1.5 billion of 4.875% senior notes due 2031, $1.25 billion of 5.050% senior notes due 2033, $1.5 billion of 5.300% senior notes due 2036, $1 billion of 5.450% senior notes due 2038, $1.5 billion of 6.000% senior notes due 2056 and $500 million of 6.100% senior notes due 2066. AbbVie expects to use the net proceeds from the offering to fund a portion of its cash payment obligations in connection with the acquisition of Apogee Therapeutics, Inc., and to pay fees, expenses and other amounts in connection therewith, and for other general corporate purposes, which may include the repayment or repurchase of outstanding debt.
