Mr. Rishty is a partner in Davis Polk’s Corporate Department, practicing in the Real Estate Group. He concentrates in commercial real estate with wide-ranging experience in many aspects of real estate law, including acquisitions, dispositions and development, joint ventures, financing on behalf of borrowers and lenders, debt restructuring and workouts, and leasing.

Work Highlights

Recent representations include:

  • Related Companies and Oxford Properties Group in their $1.5 billion construction financing from a bank syndicate led by Deutsche Bank AG New York Branch for the development of the one million square foot destination retail project, The Shops & Restaurants at Hudson Yards, to be anchored by a flagship Neiman Marcus store, the first in New York City, and to include restaurants from chefs Thomas Keller, José Andrés and Costas Spiliadis and stores from numerous other high-end retailers. Hudson Yards is a 28-acre project that is expected to cost $20 billion and include more than 17 million square feet of office, retail and residential space
  • A joint venture led by an affiliate of Extell Development Company on the negotiation of a lease with an affiliate of Hard Rock Cafe International (USA), Inc., for construction of a “Hard Rock” branded hotel in Times Square
  • A joint venture between Related Companies and affiliates of Spitzer Enterprises to develop a mixed-use project with over 1.4 million zoning square feet to be comprised of residential, office and retail components and a community facility near the Hudson Yards development
  • A joint venture between El Ad Group and The Peebles Corporation in obtaining a $334 million construction loan and $77 million mezzanine financing to finance the redevelopment and construction of approximately a luxury residential condominium and mixed use property at 108 Leonard Street in the New York City neighborhood of Tribeca
  • A joint venture between El Ad and Silverstein to sell commercial condominium units at One West End to Touro College; and an approximately $378 million loan to fund completion of construction and marketing of unsold residential condominiums at One West End
  • Related Companies, L.P. through its joint venture with LargaVista Companies on an $88 million construction loan and an additional preferred equity investment, and ground lease modification in connection with the development of a boutique, seven-story retail and office building located at 298-308 Lafayette Street
  • Naftali Group through its joint venture with Nahla Capital on a $105 million construction loan that will be used to facilitate the construction of a luxury residential condominium project at 219-223 West 77th Street, in New York City
  • Centurion Realty in connection with the sale, acquisition, financing and joint ventures of retail properties located in New York, NY and Chicago, IL
  • Vanbarton Group on its $83 million acquisition of 115 Sansome Street in downtown San Francisco and mortgage financing In connection with such acquisition

Before joining Davis Polk, Mr. Rishty represented:

  • A joint venture between El-Ad Group and Silverstein Properties in connection with construction financing and mezzanine financing for One West End Avenue, New York, NY
  • Naftali Group in connection with the acquisition of multiple properties located in Brooklyn, New York and throughout Manhattan, together with related joint venture agreements acquisition financing and construction financing
  • El-Ad Group in connection with acquisition, financing and joint venture for 346 Broadway, New York, NY
  • IGI-USA in connection with the acquisition and financing of 145 West 18th Street in Manhattan
  • El-Ad Group in the sale of The Plaza Hotel and Retail in New York City
  • A joint venture in its purchase of the Temple Court building, a nine-story New York City landmark at 5 Beekman Street, and adjacent property and air rights, together with acquisition financing, and a multi-party joint venture structure with both an institutional investor and affiliate of the hotel operator; and subsequent recapitalization with preferred equity and construction financing
  • An investment group in its restructuring and recapitalization of a Brooklyn office property including restructuring of the ground lease and construction financing, a lease modification surrender agreement, and tenant improvement financing in connection with a new lease with the New York City Human Resources Administration, as well as in connection with the subsequent sale of such ground leasehold interest
  • El-Ad Group in the refinancing of mortgage and mezzanine debt related to The Plaza hotel in New York City
  • El-Ad Group in connection with the acquisition and financing of 250 West Street, New York, including construction financing and preferred equity
  • IGI-USA in connection with the acquisition and construction financing of 93 Worth Street in New York
  • A private equity real estate fund in connection with a preferred equity investment in a New York City hotel property and the subsequent sale of the property
  • A real estate fund in connection with the $67 million acquisition of a mixed use multifamily and commercial property
  • A joint venture in the acquisition and financing of the former Frontier hotel in Las Vegas for $1.2 billion and the subsequent restructuring of the initial financing
