Davis Polk advised the representatives of the underwriters in connection with an SEC-registered offering of $125 million aggregate principal amount of Horizon Global Corporation’s 2.75% convertible senior notes due 2022, which included $15 million aggregate principal amount of notes issued pursuant to the full exercise of the underwriters’ over-allotment option to purchase additional notes. The net proceeds from the offering were approximately $119.6 million. Horizon Global’s common stock is listed on the New York Stock Exchange under the symbol “HZN.”

Horizon Global, which became an independent, publicly traded company as the result of a spin-off from TriMas Corporation in June 2015, is a leading designer, manufacturer and distributor of a wide variety of high-quality, custom-engineered towing, trailering, cargo management and other related accessory products on a global basis, serving the automotive aftermarket, retail and original equipment.
