Davis Polk advised the joint bookrunning managers in connection with a Rule 144A offering by Blackhawk Network Holdings, Inc. of $500 million aggregate principal amount of 1.50% convertible senior notes due 2022, which included $40 million aggregate principal amount of notes from the full exercise of the initial purchasers’ option to purchase additional notes.

In addition, Davis Polk advised the counterparties to the call spread transactions entered into in connection with the convertible senior notes offering.
