We are advising MEMX on the transaction

Davis Polk is advising MEMX on the combination of MEMX and BOX and TMX Group’s strategic investment in the combined company. The transaction will create a consolidated U.S. exchange group with an enterprise value of approximately $2.3 billion. Upon closing, TMX Group will hold an approximately 59% ownership interest in the combined business. The transaction is expected to close in the second half of 2027, subject to regulatory approval.
