Davis Polk advised GE S.à r.l. and US Egg Holding, Inc. (together d/b/a Global Eggs) on their all-cash acquisition of Hatch HoldCo, LLC and its subsidiaries (d/b/a Hillandale Farms) from members of the Bethel family, founders and long-standing owners and leaders of the business, for approximately $1.1 billion. The acquisition closed upon satisfaction of customary closing conditions.

In connection with this acquisition, Davis Polk also advised Global Eggs in connection with the related financing.

Global Eggs is a holding company based in Luxembourg that currently controls leading egg companies in Brazil and Spain.

Established in 1958 by Orland Bethel, Hillandale Farms is one of the largest suppliers of chicken eggs in the United States. Headquartered in Pennsylvania, the company raises over 20 million chickens and operates facilities across multiple states.
