At the Proxy Disclosure Conference, Ning will speak on two panels. “Director Skills & Backgrounds: Why Your Disclosures Need a Refresh… & How To Do It” will discuss the steps all companies should be taking to effectively understand and communicate the value each director brings to the board to avoid activist threats, and “Political Spending: Practical Governance & Disclosure Steps for Fraught Times” will cover practical takeaways for this new era of tighter board oversight, including what companies of all sizes need to do on policies, governance, controls &and disclosures. Ning will also speak on the “Navigating ISS & Glass Lewis” panel at the Executive Compensation Conference. Panelists will discuss preparing for issues that could affect 2024 support for say-on-pay and equity plan resolutions – as well as compensation committee elections – including key policy changes, disclosure do’s and don’ts, and tips for engaging with proxy advisors.

Kyoko will speak on two panels at the Executive Compensation Conference. “Clawbacks: Key Action Items Now” will address the most common approach to the new Dodd-Frank clawback rule, what processes you need for your new policy, the current enforcement environment and landmines to avoid as you proceed with implementation and disclosure. “ESG Metrics: Beyond the Basics” will discuss strategies and steps for overcoming ESG complexities.
