On July 21, 2010, President Obama signed into law the Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Act”). While the crux of the Act regulates financial institutions and U.S. companies, it will also impact, albeit to a lesser extent, foreign private issuers that are not financial companies. This memorandum summarizes the provisions of the Act most likely to be of interest to foreign private issuers that are not financial institutions.
