Davis Polk advised the representatives of the underwriters in connection with an SEC-registered offering of 11,000,000 shares of common stock of XPO Logistics, Inc. and advised the forward counterparties in connection with the concurrent execution of forward sale agreements relating to 6,000,0000 of the shares. The remaining 5,000,000 shares were sold directly to the underwriters by XPO. In connection with the forward sale agreements, the representatives of the underwriters borrowed an aggregate of 6,000,000 shares of XPO Logistics, Inc.’s common stock from third parties and sold these shares to the underwriters.
