We advised the underwriters on the SEC-registered offerings and concurrent forward sale agreement

Davis Polk advised the representative of the other underwriters in connection with SEC-registered offerings of 10,250,000 shares of common stock and 6,000,000 equity units of South Jersey Industries, Inc. (“SJI”), and advised a financial institution in connection with the concurrent execution of a forward sale agreement relating to 9,887,641 of the shares of common stock sold in the common stock offering. In connection with the forward sale agreement, the financial institution or its affiliate borrowed an aggregate of 9,887,641 shares of South Jersey Industries, Inc.’s common stock from third parties and sold these shares to the underwriters. The remaining 362,359 shares were sold directly to the underwriters by SJI. SJI intends to use proceeds from these offerings for the repayment of indebtedness, capital expenditures primarily for regulated businesses, including infrastructure investments at its utility business and general corporate purposes. SJI’s common stock is listed on the NYSE under the symbol “SJI.”
