We advised the initial purchasers on the high-yield notes offering

Davis Polk advised the representative of the initial purchasers in connection with the offering by Hilton Domestic Operating Company Inc., an indirect subsidiary of Hilton Worldwide Holdings Inc., of $1.5 billion aggregate principal amount of its 3.625% senior notes due 2032. Hilton intends to use the net proceeds from the offering, together with available cash, to redeem all of its outstanding 5.125% senior notes due 2026, and to pay the related redemption premiums, fees and expenses related thereto.
