Davis Polk advised Netcompany Group A/S on the initial public offering of 20,000,000 existing ordinary shares (excluding any shares comprised by the over-allotment option) sold by Netcompany’s shareholders, including certain funds managed by FSN Capital IV and certain members of Netcompany’s management and employees. There is an overallotment option in respect of an additional 3,000,000 shares. With an offer price set at DKK 155 per share, the gross proceeds to the selling shareholders (assuming no exercise of the overallotment option) amounted to approximately DKK 3.1 billion (approximately $500 million). The implied market capitalization of Netcompany is DKK 7.75 billion (approximately $1.2 billion).
