Davis Polk advised Fogo de Chão, Inc. in connection with an SEC-registered secondary offering of 4,500,000 common shares by certain selling stockholders, for an aggregate price to the public of $63 million. Fogo did not receive any of the proceeds from the sale of the shares being sold by the selling stockholders.

Fogo de Chão (fogo-dee-shoun) is a Brazilian steakhouse, or churrascaria, which has specialized for over 35 years in fire-roasting high-quality meats utilizing the centuries-old Southern Brazilian cooking technique of churrasco. The first Fogo de Chão opened in Brazil in 1979. The company currently operates 35 restaurants in the United States, 10 in Brazil and two restaurants through a joint venture in Mexico.
