Davis Polk is advising Dai-ichi Life Holdings, Inc. in connection with the merger of Janus Capital Group, Inc. and Henderson Group plc. Dai-ichi Life Holdings is Janus Capital Group’s largest stockholder. The combined group will be called Janus Henderson Global Investors plc. Dai-ichi Life Holdings entered into an amended investment and strategic cooperation agreement with Janus and Henderson, as well as a voting agreement in support of the transaction. The transaction is expected to close in the second quarter of 2017 subject to, among other things, requisite shareholder and regulatory approvals.

Dai-ichi Life Holdings is the third-largest life insurer in Japan by revenue. Janus Capital Group is a global investment firm dedicated to delivering better outcomes for clients through a broad range of investment solutions, including fixed income, equity, alternative and multi-asset class strategies. Henderson is an independent global asset manager based in the United Kingdom with assets under management of £95 billion, specializing in active investment.
