Davis Polk advised the sales agents in connection with an SEC-registered at-the-market offering program by Black Hills Corporation under which Black Hills may offer and sell shares of its common stock with an aggregate value of up to $200 million.

Based in Rapid City, South Dakota, Black Hills serves approximately 1.2 million natural gas and electric utility customers in eight states: Arkansas, Colorado, Iowa, Kansas, Montana, Nebraska, South Dakota and Wyoming. The company also generates wholesale electricity and produces natural gas, oil and coal.
