Willis Lease $200 million convertible notes offering and delta placement
We advised the underwriters on the transactions
Davis Polk advised the underwriters in connection with an SEC-registered offering of an aggregate principal amount of $200 million of Willis Lease’s 2.50% convertible senior notes due 2031. Davis Polk also advised the underwriter in a concurrent SEC-registered delta offering relating to the offer and short sale of 281,250 shares of Willis Lease’s common stock.
Willis Lease is a leading lessor and servicer of commercial aircraft and aircraft engines. The company acquires commercial aircraft and engines and manages these assets in order to provide a return on investment, primarily through lease rent and maintenance reserve revenues, as well as through management fees earned for managing assets owned by third parties.
