The investment-grade debt offering consists of four tranches

Davis Polk advised the lead managers on an SEC-registered offering by TD Bank of (i) $1.5 billion aggregate principal amount of its 2.350% senior notes due 2024, (ii) $400 million aggregate principal amount of its floating-rate senior notes due 2024, (iii) $1.1 billion aggregate principal amount of its 2.800% senior notes due 2027 and (iv) $1.5 billion aggregate principal amount of its 3.200% senior notes due 2032, under its medium-term notes program.
