Davis Polk advised the representatives of the several underwriters in connection with the $276.25 million secondary offering of 8,500,000 shares of common stock of Sun Country Airlines Holdings, Inc. by certain of its existing stockholders. Sun Country Airlines is listed on the Nasdaq Global Select Market under the symbol “SNCY.”

Based in Minneapolis, Minnesota, Sun Country Airlines is a new breed of hybrid low-cost air carrier that dynamically deploys shared resources across its synergistic scheduled service, charter and cargo businesses. Sun Country Airlines focuses on serving leisure and visiting friends and relatives (“VFR”) passengers and charter customers and providing cargo services, with flights throughout the United States and to destinations in Mexico, Central America and the Caribbean.
