Silex Microsystems acquisition of semiconductor facility

Davis Polk is advising Silex Microsystems AB on its acquisition of a 200 mm integrated circuit fabrication facility in Mountain Top, Pennsylvania, from Semiconductor Components Industries, LLC (onsemi). The acquisition is structured as an asset purchase and includes the production facility, real property, infrastructure and manufacturing equipment. The facility will be converted into a MEMS fabrication facility. Closing is expected around year-end 2027 and remains subject to customary conditions. The acquisition marks Silex’s entry into U.S. manufacturing.
