We achieved a favorable resolution in a suit involving a refinery sale

Davis Polk represented Murphy Oil Corporation, a publicly traded international oil and gas company, in litigation brought by Valero Refining-Meraux LLC in New York State Supreme Court for breach of contract in connection with Murphy’s sale of an oil refinery in Meraux, Louisiana, to Valero. Following a fire that occurred at the refinery after the sale, Valero filed a complaint asserting that Murphy had violated various provisions of the relevant asset purchase agreement and should therefore indemnify Valero for multi-million-dollar damages in connection with the fire and with other alleged breaches of the agreement.

Murphy won one aspect of the matter on summary judgment; Valero’s cross-motion for summary judgment was denied in full. We then favorably resolved the matter for our client.
