Energizer Holdings $400 million notes offering
The high-yield notes are due 2033
Davis Polk advised the representative of the initial purchasers in connection with a Rule 144A / Regulation S offering by Energizer Holdings, Inc. of $400 million aggregate principal amount of its 6.000% senior notes due 2033. The notes are guaranteed, jointly and severally, on an unsecured basis, by certain of Energizer’s domestic restricted subsidiaries. The proceeds from the offering were used to redeem outstanding notes, to repay a portion of the indebtedness outstanding under Energizer’s revolving credit facility and for general corporate purposes.
Energizer, headquartered in St. Louis, Missouri, is one of the world’s largest manufacturers, marketers and distributors of primary batteries, portable lights and auto care appearance, performance, refrigerant and fragrance products.
