We advised the joint book-running managers

Davis Polk advised Goldman Sachs & Co. LLC, BMO Capital Markets Corp. and Citigroup Global Markets Inc. as joint book-running managers on an SEC-registered offering of $1 billion aggregate principal amount of 5.300% senior notes due 2035 of CF Industries, Inc. The notes are fully and unconditionally guaranteed by CF Industries Holdings, Inc., the parent company of CF Industries, Inc.

CF Industries, based in Northbrook, Illinois, is the largest global producer of ammonia and a manufacturer of nitrogen fertilizers and industrial nitrogen products. The company’s production facilities include six manufacturing complexes in the United States, two in Canada, one in the United Kingdom and a joint venture in Trinidad and Tobago. Its principal customers are cooperatives, retailers, independent fertilizer distributors, traders and wholesalers.
