Bandwidth $316 million convertible senior notes offering
We advised the initial purchasers on the offering
Davis Polk advised the representative of the several initial purchasers in connection with a Rule 144A offering by Bandwidth Inc. of $316 million aggregate principal amount of its 0% convertible senior notes due 2032, which included $41 million aggregate principal amount of notes issued pursuant to the full exercise of the initial purchasers’ option to purchase additional notes. In addition, Davis Polk advised the counterparties to capped call transactions in connection with the offering.
