Davis Polk advised Banco Santander, S.A. in connection with its SEC-registered offering of $400 million aggregate principal amount of senior non-preferred callable floating-rate notes due 2028, $1.1 billion aggregate principal amount of 5.552% senior non-preferred callable fixed-to-fixed-rate notes due 2028, $1.25 billion aggregate principal amount of 5.538% senior non-preferred callable fixed-to-fixed-rate notes due 2030 and $1.25 billion aggregate principal amount of 6.350% Tier 2 subordinated fixed-rate notes due 2034.
