Davis Polk advised the representatives of the several underwriters on an SEC-registered debt offering by Alphabet Inc., consisting of $750 million of floating-rate notes due 2028, $1.25 billion of 4.500% notes due 2028, $500 million of floating-rate notes due 2029, $2 billion of 4.625% notes due 2029, $3.5 billion of 4.875% notes due 2031, $2.5 billion of 5.200% notes due 2033, $4.5 billion of 5.450% notes due 2036, $3 billion of 6.250% notes due 2046, $4.5 billion of 6.375% notes due 2056 and $2.5 billion of 6.500% notes due 2066.
