Mr. Kodama is counsel in Davis Polk’s Corporate Department, practicing in the Tokyo office. Proficient in Japanese, he regularly advises major Japanese and international companies and financial institutions on a broad range of global capital markets transactions including SEC-registered and exempt offerings of debt, equity, equity-linked and hybrid securities. He also advises Japanese companies in connection with their SEC and stock exchange reporting obligations and corporate governance requirements and on strategic corporate transactions, including cross-border tender offers, share exchanges and other business combinations.
