Davis Polk advised the joint book-running managers, in connection with the SEC-registered primary offering of 10,000,000 shares of common stock of U.S. Silica Holdings, Inc., which includes 1,304,300 shares of common stock purchased pursuant to the full exercise of their option to purchase additional shares.

U.S. Silica is a leading producer of commercial silica used in the oil and gas industry and in a wide range of industrial applications. Over its 116-year history, the company has developed core competencies in mining, processing, logistics and materials science that enable it to produce and cost-effectively deliver over 260 products to customers across their end markets. In U.S. Silica’s largest end market, oil and gas proppants, its “frac sand” is used to stimulate and maintain the flow of hydrocarbons in horizontally drilled oil and natural gas wells.
