We advised the joint bookrunners on the SPAC IPO and Nasdaq listing

Davis Polk advised the joint bookrunners, in connection with the $345 million initial public offering of 34,500,000 units of Poema Global Holdings Corp., which includes 4,500,000 units from the full exercise of the underwriters’ over-allotment option to purchase additional units. Each unit consists of one Class A ordinary share and one-half of one warrant to purchase one Class A ordinary share of the company. The units were listed on the Nasdaq Capital Market under the symbol “PPGH.U.”

Poema Global Holdings Corp. is a special purpose acquisition company (SPAC) founded by Princeville Capital. The company was formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. While the company may pursue a business combination in any industry, it intends to focus its search for a business that would benefit from the founders’ experience acquiring and operating businesses in the technology sector and related sectors.
