We advised the underwriters on the SPAC IPO and NYSE listing

Davis Polk advised the underwriters in connection with the initial public offering of 41,400,000 units of Northern Genesis Acquisition Corp. II, which included the exercise in full by the underwriters of their option to purchase additional units, for aggregate proceeds of $414 million. Each unit consists of one share of common stock and one-third of one redeemable warrant to purchase one share of common stock of Northern Genesis Acquisition Corp. II. The units were listed on NYSE under the symbol “NGAB.U.”

Northern Genesis II is a newly organized special purpose acquisition company (SPAC) formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. Northern Genesis II intends to capitalize on its management team’s background to identify and acquire a business involved in the ownership, financing and management of societal infrastructure.
