Davis Polk advised the representatives of the several underwriters in connection with an SEC-registered offering of $650 million aggregate principal amount of 4.600% senior notes due 2029 by Motorola Solutions, Inc.

Davis Polk is also advising the dealer managers in connection with Motorola Solutions, Inc.’s concurrent cash tender offer for (i) any and all of its outstanding 7.500% senior notes due 2025, 6.500% senior notes due 2025, 6.500% senior notes due 2028 and 6.625% senior notes due 2037 (“Any and All Notes”) and (ii) up to $650 million maximum aggregate principal amount less the aggregate purchase price of the Any and All Notes of its 3.500% senior notes due 2021, 3.750% senior notes due 2022 and 3.500% senior notes due 2023 (“Waterfall Notes”). Motorola Solutions, Inc. intends to use the net proceeds from the offering to repurchase the Any and All Notes and the Waterfall Notes that are tendered in the tender offers and pay transaction-related fees and expenses of the tender offers. Any excess net proceeds will be used for general corporate purposes.
