Mizuho Financial Group $2 billion senior notes offering
We advised the joint bookrunners on the offering of senior callable fixed-to-fixed reset rate notes

Davis Polk advised the joint bookrunners and lead managers in connection with Mizuho Financial Group, Inc.’s SEC-registered takedown offering of senior notes, which consisted of $1.4 billion aggregate principal amount of 1.234% senior callable fixed-to-fixed reset rate notes due 2027 and $600 million aggregate principal amount of 2.172% senior callable fixed-to-fixed reset rate notes due 2032. The notes are structured to count as total loss-absorbing capacity (“TLAC”) under the Japanese TLAC regulations. The notes are listed on the Singapore Exchange Securities Trading Limited.
