Davis Polk advised Kosmos Energy Ltd. in connection with a Rule 144A/Regulation S offering of an additional $225 million aggregate principal amount of its 7.875% senior secured notes due 2021. The notes are guaranteed on a subordinated basis by certain of Kosmos’s subsidiaries and are secured by an equitable charge over all outstanding shares of Kosmos’s direct subsidiary, Kosmos Energy Holdings. 

Kosmos is an international oil and gas exploration and production company with a focus on frontier and emerging areas along the Atlantic Margin. Kosmos’s assets include existing production and other major development projects offshore Ghana, as well as exploration licenses with significant hydrocarbon potential offshore Ireland, Mauritania, Morocco (including Western Sahara), Portugal, Senegal and Suriname.
