Davis Polk advised the solicitation agents in connection with a solicitation of consents by Country Garden Holdings Company Limited (“Country Garden”) from the holders of its 7.50% senior notes due 2023 (the “2023 Notes”), 7.25% senior notes due 2021 (the “2021 Notes”), 7.875% senior notes due 2019 (the “2019 Notes”), 7.50% senior notes due 2019 (the “Private Notes”), and 7.50% senior notes due 2020 (the “2020 Notes”) to certain amendments under the indentures governing such notes. The amendments bring certain terms of the indentures relating to the 2023 Notes, the 2021 Notes, the 2019 Notes and the Private Notes into conformity with the indenture relating to the 2020 Notes, as well as introduce certain new amendments to enable Country Garden to become more adaptive to the fast-changing competition landscape and regulatory environment, and increase its flexibility to implement business plans in the future.

Country Garden is one of the leading integrated property developers in the PRC. It commenced its property development business in Guangdong Province in 1997, and has subsequently expanded into Malaysia and Australia. Its business focuses on the development of large scale residential community projects and the sale of various types of properties, including townhouses, apartment buildings, parking spaces and retail shops.
