Davis Polk advised the representative of the several initial purchasers in connection with Century Aluminum Company’s offering of 12.000% senior secured notes due 2025 in the aggregate amount of $250 million and as dealer manager in connection with a concurrent cash tender offer by Century Aluminum for any and all of its 7.500% senior secured notes due 2021. The notes were sold pursuant to Rule 144A and Regulation S under the Securities Act of 1933 and to certain institutional accredited investors pursuant to an exemption of the registration requirements of the Securities Act. The tender offer consideration was primarily funded from the net proceeds of the offering. 

Century Aluminum Company is a global producer of primary aluminum and operates aluminum reduction facilities in the United States and Iceland. Century’s corporate offices are located in Chicago, Illinois.
