We advised Alpha Capital Acquisition, a SPAC, on its IPO and Nasdaq listing

Davis Polk advised Alpha Capital Acquisition Company on its $230 million initial public offering of 23,000,000 units. Each unit had an initial offering price of $10.00 and consists of one Class A ordinary share and one-half of one redeemable warrant. The units, the shares and the warrants are listed on the Nasdaq Capital Market. The units include 3,000,000 units purchased pursuant to the full exercise of the underwriters’ over-allotment option. 

The company is a newly incorporated special purpose acquisition company (SPAC) formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The company intends to seek a business combination with a Latin American-focused technology business.
