A seasoned capital markets lawyer, Brian has a wealth of experience advising issuers, sponsors and underwriters in debt offerings, IPOs and equity offerings, tender offers, PIPEs, SPACs and spin-offs. He also advises U.S. and international companies on corporate governance and SEC, NYSE and NASDAQ disclosure, reporting and compliance obligations. In addition, Brian represents public and private companies on mergers and acquisitions, divestitures and other corporate matters.

Brian’s recent representations include:
- An ad hoc group of holders of MultiPlan Corporation senior convertible notes in connection with the exchange of approximately $4.5 billion in aggregate principal amount of existing first-lien term loans, secured notes, unsecured notes and convertible notes
- An ad hoc group of lenders in connection with the capital raise and refinancing of Springs Window Fashions
- An ad hoc group of term loan lenders to The E.W. Scripps Company on an out-of-court restructuring of up to $1.3 billion of existing term loans
- An ad hoc group of first-lien noteholders in connection with the chapter 11 restructuring of Incora
- An ad hoc group of holders of Solar Mosaic’s approximately $3.8 billion of asset-backed securities in connection with Solar Mosaic’s chapter 11 cases
- An ad hoc group of holders of Sunnova’s approximately $5.5 billion of asset-backed securities in Sunnova’s chapter 11 cases
