We advised Vitru on the offering

Davis Polk advised Vitru Educação S.A. in connection with the Rule 144A / Regulation S follow-on offering of 13,614,704 common shares for gross proceeds of approximately R$177 million. The common shares are traded on the São Paulo Stock Exchange under ticker symbol “VTRU3.”

Vitru is a leading hybrid higher education platform in Brazil, combining national scale, academic quality and intensive use of technology to offer undergraduate and continuing education programs. The company operates through the Unicesumar and Uniasselvi brands and serves more than 915,000 students through a broad national footprint that includes approximately 1,300 in-person learning hubs across more than 2,000 cities in Brazil.

The Davis Polk corporate team included partner Manuel Garciadiaz, counsel Lourenço Lopes-Sabino and associate Alexandre Diniz. The tax team included counsel Ziyuan (Constance) Zhang and associate Alanna Phillips. Members of the Davis Polk team are based in the São Paulo and New York offices.
