We advised the joint lead managers on the offering

Davis Polk advised the joint lead managers in connection with a Rule 144A / Regulation S offering by Sompo Holdings, Inc. of $1.3 billion aggregate amount of 5.411% senior callable fixed-to-fixed reset rate notes due 2037. The notes are listed on the Singapore Exchange Securities Trading Limited.

Sompo Holdings is one of the largest P&C insurance groups in Japan, as measured by direct premiums written (excluding deposits of premiums by policyholders) through its subsidiary, Sompo Japan Insurance Inc.
