We advised the managers on the sale of TSE-listed shares by multiple Japanese shareholders

Davis Polk advised the joint lead managers and joint bookrunners in connection with the secondary offering of 3,041,000 shares of common stock of NISSIN FOODS HOLDINGS CO., LTD. The shares were sold by Mizuho Bank, Ltd., MUFG Bank, Ltd. and Sumitomo Mitsui Banking Corporation. The offering consisted of an international offering outside Japan pursuant to Rule 144A and Regulation S. The shares are listed on the Tokyo Stock Exchange. The aggregate proceeds of the offering are approximately ¥23.9 billion (approximately $219 million).

Nissin Foods Holdings is a global manufacturer and distributor of food products. Their portfolio is centered on a variety of instant noodle products, including their most popular brands of Cup Noodle, Chicken Ramen and Donbei, and includes a wide variety of frozen foods, chilled foods, cereal, confectionary and beverages.
