Davis Polk advised the joint lead book-running managers and representatives of the several underwriters in connection with the SEC-registered offering of 13,590,908 shares of common stock of MP Materials Corp., which included 1,772,727 shares of common stock from the full exercise of the underwriters’ option to purchase additional shares, for total gross proceeds of approximately $747.5 million. MP Materials’ common stock is listed on the New York Stock Exchange under the symbol “MP.”

MP Materials is America’s only fully integrated rare earth producer with capabilities spanning the entire supply chain—from mining and processing to advanced metallization and magnet manufacturing. It extracts and refines materials from one of the world’s richest rare earth deposits in California, and manufactures the world’s strongest and most efficient permanent magnets. Its products enable innovation across critical sectors of the modern economy, including transportation, energy, robotics, defense and aerospace.
