We advised the initial purchasers on the unregistered debt offering

Davis Polk advised the initial purchasers in connection with an unregistered offering of $2 billion in aggregate principal amount of senior notes by Marvell Technology, Inc., a wholly owned subsidiary of Marvell Technology Group Ltd., consisting of $500 million aggregate principal amount of 1.650% senior notes due 2026, $750 million aggregate principal amount of 2.450% senior notes due 2028 and $750 million aggregate principal amount of 2.950% senior notes due 2031. Marvell intends to use the net proceeds from the offering to fund a portion of the aggregate cash portion of the merger consideration payable in connection with its pending acquisition of Inphi Corporation.
