Davis Polk advised the representative of the several initial purchasers in connection with a Rule 144A / Regulation S offering of $300 million aggregate principal amount of 7.250% senior notes due 2033 by Kennedy-Wilson, Inc., a wholly owned subsidiary of Kennedy-Wilson Holdings, Inc. The notes are guaranteed on a senior unsecured basis by Kennedy-Wilson Holdings and certain of Kennedy-Wilson, Inc.’s domestic subsidiaries. The notes are a reopening of the $700 million aggregate principal amount of 7.250% senior notes due 2033 previously issued by Kennedy-Wilson, Inc.
